Terms of service.

The ground rules between Noticia and its customers. If you're reading this before signing, thank you — it's rare and it's healthy.

1. Scope

These Terms of Service (the "Terms") govern the use of the Noticia platform (the "Service") published by Noticia SAS ("Noticia", "we"), headquartered in Marseille, France. The Service is an AI copilot for physical-retail brands that turns operational data into actionable recommendations and marketing activations.

Using the Service constitutes full acceptance of these Terms and of the data protection agreement attached as a schedule.

2. Definitions

  • Customer — the legal entity that has subscribed to the Service under an Order Form.
  • User — any individual authorized by the Customer to access the Service.
  • Order Form — the document signed by the parties specifying scope, price, and term.
  • Customer Data — all data imported into or generated within the Service by the Customer.
  • AI Output — any recommendation, segmentation, message, forecast, or content produced by Noticia's AI engines.

3. Access & account

Access to the Service requires creating an account on dashboard.noticia.ai. The Customer is responsible for the confidentiality of its Users' credentials and for any action carried out from its account.

Noticia reserves the right to suspend access in case of obviously abusive or illegal use, or in case of unpaid invoices not regularized within 15 days of formal notice.

4. Service description

Noticia provides a SaaS platform including, depending on the plan:

  • Integration of retail data sources (POS, ERP, e-commerce, loyalty, HR).
  • A conversational copilot for natural-language queries.
  • Signal-detection and recommendation engines.
  • An SMS activation module with opt-in, consent, and unsubscribe management.
  • Dashboards, exports, and API.

The exact scope is set by the Order Form. Noticia may evolve the Service over time; major changes are announced at least 30 days in advance.

The Service produces recommendations from statistical and generative AI models. These recommendations must always be validated by an authorized human operator of the Customer before execution. Noticia cannot be held liable for operational decisions taken on the basis of AI Output.

5. Customer commitments

The Customer undertakes to:

  • Use the Service in line with its intended purpose and applicable laws — particularly data protection, marketing, and loyalty regulations.
  • Hold all rights, authorizations, and consents required for the Customer Data transferred.
  • Refrain from circumventing security measures, reverse-engineering, or reselling access.
  • Maintain compliant SMS opt-in lists: no sending to contacts who have not explicitly consented; mandatory mention of "STOP" unsubscribe.

6. Pricing & billing

  • Prices are stated in euros, excluding tax, in the Order Form.
  • Monthly or annual billing depending on the plan, in advance.
  • Payment within 30 days of invoice via SEPA transfer or direct debit.
  • Late payments incur interest at the ECB rate plus 10 points and a €40 fixed indemnity (Article L. 441-10 French Commercial Code).
  • SMS volumes above plan are billed at cost plus a routing margin specified in the Order Form.

7. Term & termination

The subscription runs for the term set in the Order Form, automatically renewing for identical successive periods unless either party gives notice at least 60 days before expiry.

Either party may terminate for cause in case of material breach not cured within 30 days of formal notice. On contract end, Customer Data is returned in a structured format on request within 30 days, then permanently deleted.

8. Intellectual property

Noticia retains full ownership of the platform, code, models, trademarks, and any element of the Service. The Customer is granted a personal, non-exclusive, non-transferable right to use the Service for the term of the contract.

The Customer retains full ownership of Customer Data and of AI Output generated from it under the contract.

9. Data & confidentiality

Personal-data processing is governed by our Privacy Policy and by the Data Processing Agreement signed at onboarding. The parties undertake mutual confidentiality on any non-public information exchanged during and after the contract.

In case of breach, the Customer is entitled to a service credit prorated to the downtime, capped at 25% of the relevant monthly fee.

11. Liability

Noticia's liability is engaged only on proven fault and is limited, all damages combined, to the amounts actually paid by the Customer over the 12 months preceding the triggering event. Indirect damages (loss of revenue, of customers, reputational harm) are excluded, except in cases of fraud or gross negligence.

12. Force majeure

Neither party shall be held liable for any failure resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code, provided it informs the other party without delay and uses best efforts to limit the consequences.

13. Governing law & jurisdiction

These Terms are governed by French law. Any dispute will, failing amicable resolution within 30 days, be submitted to the exclusive jurisdiction of the Marseille Commercial Court, including for summary proceedings, third-party claims, or multi-defendant cases.
